Please read these Terms of Service (“Terms”) carefully before using www.shawnjohanson.com (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.
1. About Us

2. Services Offered
Through this Site, we offer information about and the opportunity to apply for the following services:
• 1:1 Executive Coaching — exclusive, application-based personal coaching engagements for a
select group of six leaders per year
• Keynote Speaking— inquiry and booking for corporate events, leadership summits,
conferences, and executive retreats
• Group Coaching Programs — may be offered in the future at our discretion
This Site serves as an informational and inquiry portal. No services are purchased directly through the Site. Coaching and speaking engagements are entered into through separate written agreements and invoiced independently. Submission of an application does not create a binding contract or guarantee of services.
3. Eligibility
By using this Site, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of this Site is intended for business professionals, executives, entrepreneurs, corporate clients, and event organizers. Use by individuals under 18 is not permitted.
4. Application and Inquiry Forms
The Site contains a coaching application form and a keynote speaking inquiry form. By submitting either
form, you:
• Represent that all information provided is accurate and complete
• Consent to being contacted by us at hello@shawnjohanson.com regarding your submission
• Acknowledge that submission does not guarantee acceptance, engagement, or a response
within any specific timeframe
• Understand that all engagement terms, fees, and conditions are addressed in a separate written agreement
We reserve the right to accept or decline any application or inquiry at our sole discretion, without obligation to provide a reason. Coaching engagements are limited to six clients per year.
5. No Professional Advice
All content on this Site — including testimonials, videos, coaching program descriptions, keynote information, personal narrative, and the 25% Rule framework — is provided for informational and educational purposes only. Nothing on this Site constitutes:
• Legal, financial, tax, or investment advice
• Medical, psychological, or therapeutic treatment
• A guarantee of specific business, personal, or relationship outcomes coaching and speaking services are not a substitute for professional advice in regulated fields
Results achieved by clients referenced or quoted on this Site reflect their individual experience and are not a guarantee of similar results for other clients. Individual outcomes vary based on effort, commitment, circumstances, and other factors outside our control.
6. Intellectual Property
All content on this Site — including but not limited to text, frameworks, methodologies (including The 25% Rule and the Three Shifts framework), program names, graphics, logos, video, audio, and Shawn Johanson’s name and likeness — is the proprietary property of Sona Investments, Inc d/b/a Shawn Johanson and is protected by applicable U.S. and international intellectual property laws.
You may not:
• Reproduce, distribute, or publicly display any Site content without prior written permission
• Use Shawn Johanson’s name, likeness, or brand materials for any commercial purpose
• Adapt, modify, or create derivative works from our content
Limited personal, non-commercial use is permitted solely for the purpose of reviewing information about our services.

Client testimonials appearing on this Site are shared with permission and reflect genuine individual
experiences. They are provided for illustrative purposes only. Past results do not guarantee future
outcomes. We make no representations that any specific result is typical, likely, or assured.

10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SONA INVESTMENTS, INC D/B/A SHAWN JOHANSON, ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THIS SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Because no fees are paid through this Site, our total liability to you for any claim arising from your use of the Site shall not exceed the greater of (a) the total amount, if any, you actually paid us in the three (3) months preceding the claim, or (b) one hundred U.S. dollars ($100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Sona Investments, Inc d/b/a Shawn Johanson and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your submission of any application or form, or your violation of these Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
Informal Resolution. Before starting any arbitration, you agree to first contact us at hello@shawnjohanson.com and give us a good-faith opportunity to resolve the dispute. Many concerns can be resolved this way without any further action.
Binding Arbitration. Except for the matters described below, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules then in effect. The arbitration shall take place in the State of Florida, or by remote means where available, and shall be conducted before a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction, including the state or federal courts located in Florida.
Class Action Waiver. All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or otherwise preside over any form of class or representative proceeding.
Exceptions. Either party may bring an individual claim in small claims court if the claim qualifies. In addition, nothing in this section prevents either party from seeking injunctive or other equitable relief in the state or federal courts located in Florida to protect intellectual property or other proprietary rights, and you consent to the personal jurisdiction of those courts for that limited purpose.
13. Modifications to These Terms
We reserve the right to update or modify these Terms at any time. Changes will be posted to this page with an updated effective date. Your continued use of the Site following any changes constitutes you acceptance of the revised Terms.
